Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OrgFire platform and website (the "Service") provided by OrgFire LLC ("OrgFire," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Accounts
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
2. Use of the Service
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service or its systems
- Transmit malicious code, spam, or unsolicited communications through the Service
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to store or transmit content that is unlawful, harmful, or infringes on the rights of others
- Reverse engineer, decompile, or disassemble any part of the Service
3. Organizations and Member Data
If you create or administer an organization on the Service, you are the data controller for the member data stored within your organization. You are responsible for:
- Obtaining appropriate consent from members for data collection and use
- Ensuring your use of member data complies with applicable privacy and data protection laws
- Managing access permissions for users within your organization
- The accuracy and legality of content you upload or create
OrgFire processes organization data on your behalf as a data processor and will not access, use, or share your organization's data except as necessary to provide the Service or as required by law.
4. Your Data
You retain all rights to your data. You grant OrgFire a limited license to host, store, and process your data solely for the purpose of providing the Service. We will not sell your data to third parties.
You may export your data at any time using the tools provided in the Service. Upon account or organization deletion, we will delete your data within a reasonable timeframe, subject to legal retention requirements.
5. Subscriptions and Billing
Certain features of the Service require a paid subscription. Subscriptions are billed in advance on a monthly or annual cycle, as selected at the time of purchase. By subscribing, you authorize OrgFire to charge your chosen payment method for the applicable fees on each renewal date until you cancel. We may change pricing with at least 30 days' notice to active subscribers; any change takes effect on your next renewal. All fees are in U.S. dollars and are exclusive of taxes you may owe in your jurisdiction.
6. Refunds and Disputes
If you are unsatisfied with the Service, contact [email protected] within 14 days of your first paid invoice and we will issue a full refund of that invoice. After 14 days, paid subscription fees are non-refundable, but you may cancel at any time to prevent future charges.
Usage-based charges (for example, messaging overages, per-piece fees, or payment processing fees) are non-refundable once incurred, except where required by law or where caused by a verified billing error.
If you believe a charge was made in error, please contact [email protected] before initiating a chargeback with your bank or card issuer so we can investigate and resolve the issue directly.
7. Cancellation
You may cancel your subscription at any time from your account settings or by emailing [email protected]. Cancellation takes effect at the end of your current billing period; you retain access to paid features through that date and will not be charged for subsequent periods.
Your organization data remains exportable through the Service up to the cancellation date and for a reasonable period afterward, subject to the retention terms described in our Privacy Policy.
8. Communications
The Service includes communication features (email, SMS, voice, and in-app messaging) that allow you to contact members of your organization. You are solely responsible for ensuring that your use of these features complies with applicable laws, including anti-spam and telemarketing regulations such as CAN-SPAM, TCPA, CASL, and GDPR. You must maintain appropriate consent from recipients, honor opt-out and unsubscribe requests promptly, and accurately identify yourself in outbound messages.
Certain communication channels rely on third-party carriers or service providers and may be subject to additional rate limits, content restrictions, or approval requirements imposed by those providers. OrgFire may suspend communication features on your account if we detect patterns consistent with spam, fraud, or abuse.
9. Intellectual Property
The Service, including its design, features, and documentation, is owned by OrgFire and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.
10. Third-Party Services
The Service may integrate with third-party services, including payment processors, messaging providers, and analytics tools. Your use of those services is governed by their own terms and privacy policies. OrgFire is not responsible for the availability, accuracy, or practices of third-party services.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
12. Limitation of Liability
To the maximum extent permitted by law, OrgFire shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless OrgFire, its officers, directors, employees, and agents from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
14. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive (including data ownership, limitation of liability, and indemnification).
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Service.
16. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.
